Pursuant to the Scheduling Order entered in the Action on February 10, 2021, a Settlement Class (defined below) was preliminarily certified as a non-“opt-out” class pursuant to Delaware Court of Chancery Rules 23(a), 23(b)(1) and 23(b)(2).

All record holders and all beneficial owners of Tribune Publishing Company (“Tribune” or the “Company”) common stock who held or owned such stock as of July 28, 2020, and who continue to hold such stock through and including February 9, 2021.
Excluded from the Settlement Class are the defendants in the Action and any person, firm, trust, corporation or other entity related to or affiliated with any of the defendants and/or their predecessors or successors in interest.
